POSITION SUMMARY

Reporting to the Managing Counsel, Upstream, the purpose of the role is to provide commercial legal support as directed from time to time to the various Upstream businesses in Shell Canada. These businesses include Onshore (natural gas and unconventional oil exploration and production), Deep Water (east coast offshore natural gas production) and Commercial (property and facility acquisitions / divestitures, LNG development and various other commercial projects). Responsible when assigned to a matter to protect Shell’s interests and enhance Shell’s reputation and brand by providing sound legal advice, assisting with negotiations, and drafting documents, primarily in the context of commercial oil and gas matters and transactions. More particularly, the successful candidate will have developed the following skills and experience, primarily in the context of Canadian upstream oil and gas law:


  • Identifying legal issues and using sound judgment to determine which legal risks can be assumed and which need to be mitigated

  • Developing and implementing practical solutions to clients’ legal problems, including client training and education as required

  • Negotiating and drafting legal documents that protect Shell’s interests

  • Occasionally retaining, instructing and managing external counsel.

Requirements:



  • Undergraduate degree (4 years) and Law degree (JD/LLB - 3 years)

  • Member of Law Society of Alberta (Articling/Bar Admission Course)

  • 5 to 8 years at the bar

  • Experience practicing commercial law either in a large or medium sized firm or in a corporate legal department

  • Significant experience negotiating and drafting high-quality commercial agreements, particularly those commonly used in Western Canadian oil and gas operations and transactions

  • Strong preference for working experience in the following areas:



    • Joint operations of oil and gas properties and facilities  


    • Oil and gas product transportation, processing and marketing  


    • Acquisition / divestment of oil and gas properties and facilities  


    • Negotiating and management of joint venture agreements
